Terms and Conditions for NUCLEUS PROJECT SHOOTS

1. General Agreement

These Terms and Conditions govern the provision of photography services by NUCLEUS PROJECT SHOOTS (“Photographer”) to the client (“Client”). By confirming a project, the Client agrees to be bound by these T&Cs.

2. Quotation and Booking

  • Quotations: All project quotes are valid for thirty (30) days from the date of issue.
  • Booking Fee: A non-refundable retainer fee (typically 30-50% of the total project cost) is required to secure the project date(s) and formally confirm the booking. The remaining balance is due upon delivery of the final digital images.
  • Cancellations: If the Client cancels a confirmed project, the retainer fee will be forfeited. Cancellations made less than 7 days before the shoot may incur an additional cancellation fee.

3. Project Execution and Safety

  • Site Access and Safety: The Client is responsible for ensuring the Photographer and team have all necessary permissions, access, and security clearance to the project site (e.g., manufacturing plants, corporate offices, warehouses).
  • Safety Compliance: For Industrial and Pharma shoots, the Client must ensure the site is safe and compliant with all local safety regulations. The Photographer reserves the right to cancel or pause a shoot without refund if conditions are deemed unsafe.
  • Client Representative: The Client must assign a representative with decision-making authority to be present on-site during the shoot to approve concepts and execution.

4. Image Delivery and Revisions

  • Delivery: Final edited images will be delivered digitally via a secure online gallery or transfer service within the agreed-upon timeframe (typically 10-15 business days after the shoot).
  • Post-Production: All final images will be edited at the Photographer’s discretion regarding color correction, cropping, and standard retouching. Additional, excessive, or complex retouching may incur extra fees.
  • Revisions: Minor revisions to editing (e.g., cropping adjustments) are allowed within 7 days of delivery. Substantial revisions based on initial creative direction changes may be billable.

5. Copyright and Usage License

  • Copyright Ownership: The copyright to all photographs remains the sole and exclusive property of NUCLEUS PROJECT SHOOTS (Nikhil A Jadhav) under Indian Copyright Law.
  • Client License: Upon full payment of the invoice, the Photographer grants the Client a non-exclusive, non-transferable, perpetual license to use the images for internal company use and external marketing (e.g., website, social media, print brochures, annual reports) related to the Client’s business.
  • Restrictions: The Client may not sell, sublicense, or transfer the images to any third party (e.g., architects, suppliers, or other contractors) without express written permission from the Photographer. Third parties must negotiate their own license directly with the Photographer.
  • Photographer Usage: The Client grants the Photographer permission to use the images for the Photographer’s own portfolio, website, social media, marketing, and competition entries, unless explicitly agreed otherwise in writing (e.g., for highly confidential projects).

6. Indemnification and Liability

  • Client Responsibility: The Client agrees to indemnify and hold the Photographer harmless against any claims, damages, or expenses arising from the Client’s use of the images or any injury occurring on the Client’s property.
  • Limit of Liability: In the unlikely event of non-performance (e.g., equipment failure, illness), the Photographer’s liability shall be limited to a full refund of all monies paid by the Client for the specific project, excluding expenses already incurred.

7. Governing Law

This agreement shall be governed by the laws of India, and any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.
